Commercial Agreement

Terms of Service

Standard commercial terms governing wholesale poultry transactions, daily price contracts, distributor supply allocations, and temperature-controlled logistics with Zexo Overseas.

Effective Date: November 4, 2026

1. Acceptance & Business Capacity

By accessing our website, registering as a distributor, submitting a bulk enquiry, or placing an order with Zexo Overseas, you represent and warrant that you are acting on behalf of a legally incorporated business entity or registered commercial establishment capable of entering into binding wholesale commercial contracts.

2. Daily Price Mechanism & Quotations

Poultry commodities are traded subject to market indices and regional mandi supply benchmarks:

  • Daily Rate Publication: Rates published on the Zexo Overseas portal are revised daily at 06:00 AM IST and reflect live wholesale prices per kilogram (exclusive of applicable GST and transport freight unless explicitly stated).
  • Rate Lock Window: Confirmed purchase orders booked before 08:00 AM lock in that day's published wholesale rate. Orders confirmed thereafter remain subject to inventory availability and morning batch quota limits.
  • Price Fluctuations: In the event of extraordinary market force majeure, written quotation confirmation from our trade desk shall govern.

3. Minimum Order Quantities (MOQ) & Packaging

  • Fresh Poultry Line: Minimum wholesale order volume is 50 KG per order across standard cuts (Whole bird, Breast boneless, Thigh, Drumstick, Curry cut).
  • Blast-Frozen IQF Line: Minimum commercial order volume is 100 KG per cut, supplied in standardized 10 KG / 15 KG master export-grade corrugated cartons.
  • Orders below MOQ are handled strictly on a trial basis upon prior written agreement from our sales desk.

4. Delivery Dock Inspection & Acceptance

Given the perishable nature of fresh and frozen poultry items:

  • The buyer or their designated receiver must inspect the temperature reading, packaging seal, and calibrated tare weight immediately upon arrival of our refrigerated vehicle.
  • Fresh cuts must register between 0°C and 4°C; frozen cuts must register at -18°C or below.
  • Endorsement on the delivery challan or digital receipt confirms satisfactory receipt of quantity and temperature standards.

5. Distributor Code of Conduct

Approved distributors agree to:

  • Maintain unbroken cold-chain conditions inside their regional facilities.
  • Refrain from diluting, repackaging with non-certified materials, or misrepresenting the Zexo Overseas brand.
  • Settle institutional invoices in accordance with agreed credit windows (RTGS / NEFT / Cheque).

6. Governing Law & Jurisdiction

These Terms of Service and any commercial invoices issued thereunder shall be construed and governed in accordance with the substantive laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent commercial courts in India.
